General Sales, Delivery and Payment Conditions


General remarks

These general sales conditions, unless expressly agreed otherwise, apply to all our current and future sales contracts. Any other conditions that our clients might present shall have no validity, even if we have not formally objected to or refused them. Any previous agreements or conditions are hereby automatically voided. The nullification or modification of any part of the following conditions does not impact the validity of the remaining clauses.


Offers

Our offers in euros are always non-binding. Unless expressly stated otherwise, the validity of our offer is 30 days.


Prices

Our prices in euros are expressed ex works from Useldange or Leudelange, subject to availability, without packaging or insurance.

Orders – Conclusion of Contract

Orders are only valid once we have confirmed them in writing, subject to availability for delivery. By placing an order, the client agrees to our general sales conditions. The delivery times are indicative and non-binding on our part. We reserve the right to make partial and/or subsequent deliveries, provided that the deadlines are reasonable. All orders must be made in writing (fax, mail, or Internet). We cannot, under any circumstances, be held responsible for errors in verbal orders. We charge an additional fee for colour matching based on the sample provided. Any sample must be clearly identified (name, address, telephone, etc.) to be returned to the client with the delivery of goods. No claims are possible after a period of 2 months after the client provides it.


Delivery

The merchandise is always transported at the purchaser’s risk. Unless otherwise specified, shipments are made by lorry as part of regular routes. Any other shipping method is the responsibility of the purchaser. Any special packaging is invoiced at market price. No discount will be granted for pick-up. The merchandise is carefully checked, packaged, and loaded before delivery. In the event of delivery by an independent carrier, we are not liable for breakage in transit or missing items upon arrival. The recipient is obligated to promptly verify the merchandise delivered. A delay in delivery does not nullify the contract.


Complaints

In order to be valid, claims must be submitted by registered mail within 8 days following the delivery date.

Exchange or compensation will only occur after establishing our liability. Returns (and exchanges) may only be made with our prior agreement. Return and exchange costs are borne by the client. Any potential deductions during settlement can only be made after receipt of a credit note. In the event of justified claims, we reserve the right to take back and replace the merchandise or to credit the client. Any other rights, such as alterations, reductions, claims of damages and interest (compensation for damages, labour, equipment, transportation costs, late penalties, etc.), or contract termination are excluded. Under no circumstances can the purchaser defer payments or change the terms due to an alleged claim. Our warranty is limited to the warranty provided by our suppliers. Promotional items (gifts, bonuses, etc.) are not guaranteed and will not be taken back, credited, or paid in cash.


Payment

Invoices are payable net, without discount, within 30 days from the invoice date. Every delay in payment gives us the right, without prior notice, to charge interest calculated at the legal rate in force according to the French law of April 18, 2004 regarding payment deadlines and late interest. In specific cases, we are authorised to request reduced payment terms, a suitable deposit, or advance payment. We reserve the right to suspend deliveries in the event of non-payment of a previous invoice. Failure to comply with our payment terms or a deadline renders all our claims payable after formal notice.


Property reservation

The sold merchandise will remain our property until full settlement of all invoices arising from the commercial relationship with the client. In the event of resale of the goods by the client, the client agrees to promptly disclose to us the identity and exact address of the purchaser, so as to enable us to claim the price or the unpaid portion thereof from that purchaser, regardless of whether any changes have been made to the merchandise.


Returns and Exchanges

Special manufacturing services (non-fungible products such as custom paint tinting, special formulas, etc.) are excluded from any return or exchange.


Jurisdiction

In case of dispute, only the courts of the judicial district of Luxembourg shall have jurisdiction. Only Luxembourg law is applicable.


Validity

The original French text shall prevail in the event of any difference between the original French version of these sales conditions and versions written in other languages.

Who is the “Data Controller”?

Under applicable regulations, Peintures Robin SA is the Data Controller regarding the personal data that we collect. As such, we are responsible for how this data is processed, sent, and stored.

What personal data do we collect?

We may collect your name, your job title, your telephone number, your email address, your IP address, your postal address, the country in which you are located, and your reviews and purchasing habits.

What do we do with your personal data and how long are they stored?

We use your personal data to manage the correspondence we send you and to manage your preferences regarding how you wish (or do not wish) to be contacted. We associate the personal data and preferences that you share with us with other information about you, such as products for which you show interest, your reactions to our advertisements, and our interaction with you online or in person. Collecting your personal data allows us to understand your preferences so that we can tailor our correspondence and offers. Your personal data are not stored longer than necessary to achieve these objectives.

Processing your personal data and what happens if you do not give your consent

We process your personal data as described in this statement based on your explicit consent. If you do not give your consent, it means that you may miss certain information that would otherwise be sent by Peintures Robin SA, including offers that may be of interest to you.

What about transmission of your personal data?

Your data are not transmitted to third parties. The recipients of your personal data are committed to respecting the confidentiality of your personal data and to using them exclusively within the scope of the services requested by Peintures Robin SA, in compliance with the applicable data protection law.

What are your rights regarding your personal data?

When applicable regulations permit, you have the right to:

  • access the data we hold about you
  • correct them if they are inaccurate or incomplete
  • have them deleted in certain circumstances, for example when they are no longer necessary for the purpose for which they were collected and processed and we have not already done so in accordance with our data retention policy
  • obtain the restriction of processing in certain circumstances, for example the restriction of the use of data whose accuracy you contest during the period when we have to verify it
  • file a complaint with the competent data protection authority of your country and/or the Grand Duchy of Luxembourg (National Commission for Data Protection – CNPD)
  • object to it being processing if it is based solely on our legitimate interests
  • data portability, meaning the right to receive the personal data you have provided to us in a structured, commonly used, and machine-readable format or to have them transmitted directly to another data controller
  • withdraw your consent to the processing of your data at any time, without this affecting the lawfulness of the processing based on consent before its withdrawal and unless the processing is based on another legal basis other than consent alone.
